Looks good. But there are room for improment. 
The theme is missing some images, most notably the Activity Menu Tab. That bit gets rendered with the background color in the phone. The Activity Menu Highlight is also missing.
The transparent Popup image does not help functionality. Very difficult to read when overlaid on other text.
The Tab Unselected image needs to be transparent. The preview looks okay, but it looks weird in the phone.
Due to a "feature" of themes v. 4.0 the transparent parts of the Title image gets rendered black. I would suggest adding the background to that image to get it more in tune with the rest of the theme.
A darker color for Softkey Text Pressed would be nice. Also work some more with your color scheme. It could use some more contrast for best functionality IMO. A tip is to do a preview without "Show Images" checked.
